Greene King’s improved offer of 115p (0.1322 Greene King shares and 8p in cash) to acquire smaller rival Spirit, which operates about 1,200 pubs with brands including Chef & Brewer and Taylor Walker, has been accepted. The deal values Spirit at £1,600m including the assumption of £828m of net debt and works out at an exit PE of 15.4 and enterprise value / EBITDA of 9.75 times.It also creates an enlarged group of 3,000 pubs, with 1,700 being the much coveted managed pubs, whose focus on food sales makes them far more profitable than “wet” led outlets.
